1. Who we are and what these Terms cover

1.1         This website, www.plaee.com, including its subdomains and all pages, content, forms and features made available through it (the "Site"), is operated by Plaee Along Ltd., a company incorporated in Israel under company number 517151981, whose registered office is at 2 HaYarkon Street, Bnei Brak 5126012, Israel ("Plaee", "we", "us" or "our").

1.2         These Website Terms of Use (the "Terms") govern your access to and use of the Site. They apply to every person who visits or uses the Site, whether on their own behalf or on behalf of a business or other entity ("you").

1.3         The Site is an informational and marketing website. Its purpose is to describe Plaee, its technology and its partner ecosystem, and to allow prospective clients and partners to contact us. The Site is not a platform through which any product or service is delivered, and no Plaee product or service is made available through, or may be accessed via, the Site.

1.4         Nothing on the Site, and nothing in these Terms, constitutes an offer or a commitment by Plaee to provide any product or service to any person. Any engagement between Plaee and a client, partner or other counterparty is governed exclusively by a separate written agreement signed by the parties (a "Commercial Agreement"). In particular, any processing of data, integration, development, hosting, support or other activity that Plaee carries out for or on behalf of an Operator is governed solely by the Commercial Agreement (including any data-processing terms in it) and not by these Terms. These Terms do not form part of, amend or supplement any Commercial Agreement, and in the event of any inconsistency between these Terms and a Commercial Agreement, the Commercial Agreement prevails in respect of its subject matter.

1.5         Our Privacy Policy (www.plaee.com/company/privacy-policy) and our Cookie Policy (www.plaee.com/company/cookie-policy) describe how we handle personal information collected through the Site. They should be read together with these Terms.

2. Acceptance of these Terms

2.1         By accessing or using the Site you confirm that you have read, understood and agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Site.

2.2         The Site is directed exclusively at businesses and the professionals who act for them – such as brokers, exchanges, online gaming and sweepstakes operators, payment and technology companies, and their advisers – that are considering or maintaining a business relationship with Plaee. It is not directed at consumers, and it is not directed at the end users of any Operator's products. If you are an end user of a product offered by one of our Operators, please contact that Operator directly; Plaee has no relationship with you through the Site and cannot act on your behalf. If you use the Site on behalf of a company or other entity, you represent and warrant that you are authorised to accept these Terms on its behalf, in which case "you" also refers to that entity.

2.3         You must be at least 18 years of age (or the age of majority in your jurisdiction, if higher) to use the Site. The Site is not directed at minors and we do not knowingly collect information from them.

4. Information on the Site

4.1         The content of the Site is provided for general information purposes only. Although we aim to keep it accurate and current, we make no representation or warranty that it is accurate, complete or up to date, and we may change, suspend or remove any content at any time without notice.

4.2         The Site may contain statements concerning Plaee's plans, products, roadmap, partnerships or the markets in which it operates that are forward-looking in nature. Such statements reflect our expectations at the time they are made, are subject to risks and uncertainties, and may not materialise. We undertake no obligation to update them.

4.3         Product descriptions, feature lists, integration details, performance figures, case studies and similar materials on the Site are indicative only. The features, specifications, service levels and terms of any Plaee product are exclusively those set out in the applicable Commercial Agreement and its documentation. Any system-status indicator, uptime figure or changelog displayed on the Site is informational only and is not a service-level commitment.

4.4         Articles, posts, market commentary and other editorial content published on the Site (including in the blog and updates sections) reflect the views of their authors at the time of publication, are provided for general information only, and may refer to third-party products, markets or regulatory developments that change over time. Such content is not legal, regulatory, financial or investment advice and does not constitute a recommendation.

4.5         You should not rely on the content of the Site as the basis for any business, legal, regulatory, financial or investment decision, and Plaee accepts no responsibility for any such reliance.

5. Contact, demo and partnership requests

5.1         The Site allows you to contact us, request a demo or express interest in a partnership by submitting a form or emailing us (each, a "Request"). Submitting a Request does not create any contractual relationship, obligation or expectation of a response. We may, in our sole discretion, decline to respond to or act on any Request.

5.2         You confirm that the information you provide in a Request is accurate and complete, that you are authorised to provide it, and that it relates to a bona fide business enquiry. We may verify the information you provide and may decline to engage with any person or entity for any reason, including on the basis of our compliance, sanctions or know-your-business checks.

5.3         Personal information contained in a Request is processed in accordance with our Privacy Policy. Requests and their contents are not confidential unless and until a written confidentiality agreement is in place between you and Plaee. Please do not include confidential, proprietary or sensitive information in a Request.

5.4         By submitting a Request you agree that we may contact you, using the details you provide, in connection with your Request and with Plaee's products and services relevant to it. Marketing communications are sent only where permitted by applicable law (including, where required, with your consent), and you may opt out of them at any time by using the unsubscribe link in any such message or by contacting us at the address in Section 18.

5.5         The contact form on the Site is not a support channel for Operators or their end users. Technical support for Operators is provided exclusively through the channels, and subject to the service levels, set out in the applicable Commercial Agreement. End users of an Operator's product should contact that Operator; Plaee is unable to assist them.

5.6         Any discussions, presentations, demonstrations, proposals or draft documents that follow a Request are preliminary and non-binding, and no agreement between you and Plaee will arise unless and until a Commercial Agreement is signed by both parties.

6. Careers and job applications

6.1         Where the Site includes a careers section, you may apply for advertised positions by submitting your details and supporting documents. Personal information you provide in an application is processed in accordance with our Candidate Privacy Notice, which supplements the Privacy Policy. You confirm that the information you submit is accurate and that you have the right to share any references or third-party information included in it.

6.2         Submitting an application does not create any employment or contractual relationship, and Plaee is under no obligation to consider, respond to or progress any application. Recruitment agencies may submit candidates only under a written agreement with Plaee; unsolicited agency submissions confer no right to a fee.

7. Feedback

7.1         If you send us ideas, suggestions, comments or other feedback concerning Plaee, the Site or our products ("Feedback"), you grant Plaee a perpetual, irrevocable, worldwide, royalty-free and sub-licensable licence to use, disclose and exploit the Feedback for any purpose, without any obligation to you. This Section does not override any confidentiality obligation that Plaee has agreed in writing.

8. Acceptable use

8.1         You may use the Site only for lawful purposes and in accordance with these Terms. You must not:

(a)         use the Site in any way that breaches applicable law or regulation, or that infringes the rights of any person;

(b)         attempt to gain unauthorised access to the Site, the servers on which it is hosted or any connected system, or probe, scan or test the vulnerability of the Site or breach any security or authentication measure;

(c)          introduce viruses, malware or other harmful code, or otherwise interfere with the proper working, integrity or security of the Site;

(d)         use any robot, spider, scraper, crawler or other automated means to access, copy, extract or monitor the Site or its content – including for the purpose of training or developing machine-learning or artificial-intelligence models – other than indexing by general-purpose search engines in accordance with our robots.txt file;

(e)         submit false, misleading or fraudulent Requests, impersonate any person or entity, or misrepresent your affiliation with any person or entity;

(f)          frame, mirror, deep-link to or reproduce any part of the Site without our prior written consent; or

(g)          use the Site or any contact details on it to send unsolicited commercial communications, or to market or sell to Plaee or its personnel other than through the channels we provide for that purpose.

8.2         We may monitor use of the Site and may restrict, suspend or block access to all or part of it, for any user, device or network, at any time and without notice, where we reasonably consider that these Terms have been breached or that doing so is necessary to protect the Site, Plaee or any third party.

8.3         If you believe you have identified a security vulnerability in the Site, please report it to us at [email protected] before disclosing it publicly. We welcome responsible disclosure and will not pursue legal action in respect of good-faith research conducted in accordance with this Section and applicable law. If you believe that Content on the Site infringes your intellectual property rights, please notify us at the address in Section 19 with sufficient detail to identify the material and your rights in it.

9. Intellectual property

9.1         The Site and all of its content – including text, graphics, logos, images, video, software, source and object code, design, product names and the selection and arrangement of all of the foregoing (the "Content") – are owned by or licensed to Plaee and are protected by copyright, trademark and other intellectual property laws in Israel and internationally.

9.2         "Plaee", "PlaeeOS", the Plaee logo and the other product names, logos and slogans displayed on the Site are trademarks or trade names of Plaee or its affiliates, whether or not registered. The names and logos of partners, clients and other third parties appearing on the Site belong to their respective owners and are used for identification purposes only. Nothing on the Site grants any right to use any trademark, logo or trade name without the prior written consent of its owner.

9.3         Plaee grants you a limited, revocable, non-exclusive and non-transferable licence to view the Site and to download or print Content solely for your internal evaluation of Plaee and its products. You may not otherwise copy, modify, distribute, publish, transmit, sell, create derivative works from or exploit the Content in any way without our prior written consent. All rights not expressly granted in these Terms are reserved.

10. Third-party links, communities and services

10.1       The Site may contain links to third-party websites, platforms, applications, community channels (such as Discord) or social-media pages (including those of our partners), and may embed third-party tools such as analytics, chat, scheduling or form services. These are provided for your convenience only. We do not control, endorse or accept any responsibility for third-party websites, services or content, or for their privacy or security practices. Your use of them is at your own risk and subject to their own terms and policies.

11. Privacy and cookies

11.1       Our Privacy Policy explains what personal information we collect through the Site – including information you provide in a Request and information collected automatically – how we use and share it, how long we keep it and the rights available to you. Our Cookie Policy explains the cookies and similar technologies used on the Site and how you can manage them, including through the cookie preferences tool on the Site. By using the Site you acknowledge that your information will be handled as described in those policies.

12. Availability and changes to the Site

12.1       We do not guarantee that the Site, or any Content on it, will always be available or uninterrupted. We may suspend, withdraw, discontinue or change all or any part of the Site at any time without notice, and we will not be liable to you if for any reason the Site is unavailable at any time or for any period.

13. Disclaimer of warranties

13.1       The Site and the Content are provided on an "as is" and "as available" basis, without warranties or representations of any kind, whether express, implied or statutory. To the fullest extent permitted by applicable law, Plaee disclaims all such warranties, including any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and freedom from errors, viruses or other harmful components.

13.2       Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law.

14. Limitation of liability

14.1       To the fullest extent permitted by applicable law, Plaee, its affiliates and their respective directors, officers, employees, agents, licensors and partners will not be liable to you for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, business, goodwill, data or anticipated savings, arising out of or in connection with your access to or use of (or inability to access or use) the Site or any Content, or your reliance on any Content, whether in contract, tort (including negligence), breach of statutory duty or otherwise, and even if such damages were foreseeable.

14.2       To the fullest extent permitted by applicable law, the aggregate liability of Plaee and the persons referred to in Section 14.1 to you in connection with the Site or these Terms will not exceed one hundred United States dollars (USD 100).

14.3       The Site is made available free of charge. You acknowledge that the exclusions and limitations in this Section reflect a reasonable allocation of risk in light of that fact. Any liability of Plaee to a counterparty under a Commercial Agreement is governed exclusively by that agreement and is unaffected by this Section.

15. Indemnity

15.1       You agree to indemnify and hold harmless Plaee, its affiliates and their respective directors, officers, employees and agents from and against all claims, liabilities, damages, losses, costs and expenses (including reasonable legal fees) arising out of or in connection with your breach of these Terms or your unlawful or improper use of the Site.

16. Changes to these Terms

16.1       We may revise these Terms from time to time. The revised Terms will be posted on the Site with an updated "Last updated" date and take effect on posting. Your continued use of the Site after that date constitutes your acceptance of the revised Terms. We encourage you to review these Terms each time you use the Site.

17. Governing law and jurisdiction

17.1       These Terms, and any dispute or claim (including any non-contractual dispute or claim) arising out of or in connection with them, their subject matter or the Site, are governed by the laws of the State of Israel, without regard to its conflict-of-laws rules.

17.2       The competent courts of Tel Aviv-Jaffa, Israel, have exclusive jurisdiction to settle any such dispute or claim, and you irrevocably submit to that jurisdiction. Nothing in this Section prevents Plaee from seeking injunctive or other equitable relief in any jurisdiction to protect its intellectual property or confidential information.

18. General

18.1       These Terms, together with the Privacy Policy, the Cookie Policy and (where applicable) the Candidate Privacy Notice, constitute the entire agreement between you and Plaee concerning your use of the Site and supersede any prior understanding concerning that subject matter. They do not affect any Commercial Agreement or other written agreement between you and Plaee.

18.2       If any provision of these Terms is held to be invalid or unenforceable, it will be enforced to the maximum extent permissible and the remaining provisions will continue in full force and effect.

18.3       No failure or delay by Plaee in exercising any right or remedy under these Terms operates as a waiver of it.

18.4       You may not assign or transfer any of your rights or obligations under these Terms. Plaee may assign or transfer its rights and obligations under these Terms to an affiliate, or to a successor in connection with a merger, acquisition, reorganisation or sale of all or substantially all of its relevant assets.

18.5       Nothing in these Terms creates any partnership, joint venture, agency, fiduciary or employment relationship between you and Plaee.

18.6       The Site is controlled and operated from Israel. We make no representation that the Content is appropriate or available for use in any particular location. If you access the Site from outside Israel, you do so on your own initiative and are responsible for compliance with local laws. You may not use the Site if you are located in, or are a national or resident of, a country or territory that is the subject of comprehensive sanctions, or if you are named on any applicable sanctions or restricted-party list.

18.7       These Terms are drafted in English. Any translation is provided for convenience only, and the English version prevails in the event of any inconsistency.

18.8       Sections 3, 4, 7, 9, 13, 14, 15, 17 and 18 survive any termination of your right to use the Site.
